Welcome to Wisdom Balance. Wisdom Balance provides I Ching predictions and Feng Shui adjustment services (“Services”), including providing numerology predictions and Feng Shui adjustment reports (typically in electronic file format) based on information you submit, and publishes a wealth of numerology, Feng Shui articles, blogs, and related content.

Your use of the Services and the Wisdom Balance website (wisdombalance.com) (hereinafter, the “Website”), including but not limited to all content, information, text, questions, comments, ideas, graphics, images, tools and software programs and related materials contained within the Website, are subject to these Terms of Use (“Terms of Use”).

Wisdom Balance provides the Services and the Website for entertainment purposes only. You must be eighteen (18) years of age or older to purchase Services on the Website. All purchases made using a credit card, debit card, PayPal account, or other payment mechanism may only be made by the card or account holder.

At Wisdom Balance, we want you to enjoy and benefit from our prediction and adjustment services. We make every effort to provide you with helpful advice. However, this information should not be a substitute for any advice from medical, legal, financial, or other professional advisors. It is your responsibility to evaluate any information, opinions, advice, or other content provided through the Website or in conjunction with the Services.

1. Acceptance Procedure

By accessing and using the Website or Services, you acknowledge that you have read these Terms of Use, and accept and agree (without limitation or qualification) to be bound by their terms. Wisdom Balance reserves the right to change these Terms of Use from time to time in its sole discretion, and your continued access or use of the Website and/or Services will be deemed to be your acceptance of and agreement to the terms and conditions of any such changes. If you do not wish to be bound by these Terms of Use (or any revisions to these Terms of Use), you must cease using the Website and Services.

2. Privacy Policy

We understand that the privacy of your personal information is important to you. Your personal information submitted to Wisdom Balance is governed by the Privacy Policy referenced in these Terms of Use. If there is an inconsistency between these Terms of Use and the Privacy Policy, the Privacy Policy shall prevail.

3. Service Rules

Age You must be eighteen (18) years of age or older to purchase Services on the Website. This Website is not intended for use by children.

Account In order to purchase Services, you may be required to create an account on the Website. You certify that the information provided to Wisdom Balance when opening an account and all changes you make to the account are true and complete. Wisdom Balance is not responsible for any misrepresentations made by you in your account.

Payments and Fees You agree to pay for all Services purchased using your account. For all Services purchases, you agree that you will use only a credit card, debit card, PayPal account, or other payment mechanism for which you are the card or account holder.

Account Information Confidentiality You agree to maintain the confidentiality of your account information, including your password, and to notify the company of any unauthorized use of your account, password, or any other security breach.

Service Outcomes and Refunds You understand and agree that the outcomes of the I Ching prediction and Feng Shui adjustment services you purchase will be delivered to your provided email address in the form of electronic files (e.g., PDF files). Due to the special nature of the Services, once the electronic file is sent, the Service is deemed fulfilled.

If you have any questions or find yourself dissatisfied with the Service received, we kindly ask that you contact us directly within 7 days of receiving your Service to discuss your concerns. Please do not initiate a dispute or refund request through any payment platform. You must reach us through the contact methods provided at the end of these Terms of Use (e.g., email). We are committed to understanding your perspective and will do our best to seek a resolution that addresses your concerns. Wisdom Balance is not responsible for any risks (e.g., account freezes, risk control triggers) that may arise from directly initiating a payment dispute without contacting us first.

Refusal of Service We reserve the right to refuse to provide Services to anyone for any reason. We also reserve the right to take legal action against anyone who commits fraud on this Website or uses our Services or otherwise violates applicable laws. In addition, we have the right to terminate the provision of Services at any time if a client’s comments and/or conduct are deemed by us to be inappropriate, abusive, or threatening. Any such termination may result in the client being denied future access to the Website and/or Services.

4. Disclaimer – Not Professional Advice

The information provided through our Services, this Website, and other Wisdom Balance materials (including, without limitation, information provided in newsletters and reports) is for entertainment purposes only. Information provided by Wisdom Balance or its affiliates or their employees or contractors is not intended to replace any professional advice, including, without limitation: (a) professional medical advice, diagnosis, or treatment, (b) professional financial or investment advice or guidance, or (c) professional legal advice. Never disregard or delay seeking professional medical advice or other professional advice because of information you have read on this Website or received through our Services. The charges incurred by you for purchases of Services will be reflected in your billings and are entirely at your own risk. Wisdom Balance does not monitor usage patterns and has no obligation to take any action or refrain from taking any action with respect to any client to limit the use of the Website or Services.

6. General Disclaimer

No advice or information, whether oral or written, obtained by you from Wisdom Balance or its affiliates through the Website or Services shall create any warranty, representation, or guarantee not expressly stated in these Terms of Use. Wisdom Balance does not warrant or represent that the availability or use of the Website or Services will be uninterrupted or error-free. The information provided by, from, or through Wisdom Balance, its Services, and the Website is provided “AS IS” and “AS AVAILABLE,” and all warranties, express or implied (including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement), are hereby disclaimed. The Website and related information and Services may contain bugs, problems, or other limitations. Wisdom Balance and its affiliates assume no liability or responsibility for your use of the Website and Services and any such information or Services.

7. Limitation of Liability

You expressly understand and agree that neither Wisdom Balance nor any of its directors, employees, shareholders, affiliates (including parents or subsidiaries), agents, representatives, joint venture parties, independent contractors, third-party information providers, merchants, or licensors (collectively, the “Wisdom Balance Parties”) shall be liable to you for any actual or consequential loss or damages, whether in contract or tort, arising out of or related to these Terms of Use or your (or any third party’s) use of or inability to use the Website or Services, or your reliance on any information. In particular, the Wisdom Balance Parties shall not be liable for damages of any kind, including, without limitation, compensatory, indirect, direct, incidental, punitive, special, or consequential damages, whether foreseeable or unforeseeable (including, without limitation, claims for defamation; errors; loss of data, income, or profit; loss of or damage to property; or interruption of data availability), arising out of or related to these Terms of Use, your use of or inability to use the Website or Services, or your reliance on any information, whether based on oral agreement, contract, tort, statutory, or other legal theory, but only to the extent that applicable law requires such liability for death or personal injury. The remedies provided for in these Terms of Use are exclusive and are limited to those expressly provided for herein. Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential, incidental, or special damages or implied warranties, in such states and jurisdictions, liability is limited to the greatest extent permitted by law.

The disclaimers and limitations of liability set forth herein are fundamental elements of the basis of the bargain between Wisdom Balance and you. The Website and the information and Services provided would not be provided without such disclaimers and limitations.

8. Third-Party Information

Any articles, news clippings, or other third-party publications (collectively, “Publications”) made available through the Website are provided by Wisdom Balance for your convenience and entertainment. Wisdom Balance is a publisher (not a creator) of content supplied by third parties (including users). Any opinions, advice, statements, services, offers, or other information expressed or made available by third parties (including numerologists, information providers, or any users of the Website) are those of the respective author or publisher, and not of Wisdom Balance or its affiliates. Wisdom Balance disclaims any express or implied representation that such information in Publications is accurate or complete.

9. Restrictions; Compliance with Laws

Your right to use the Website and Services is personal to you. You are solely responsible for the content you transmit through the Website, and your use of the Services is subject to all applicable local, state, national, and international laws and regulations. By using the Website or Services, you agree not to:

  • use the Website or Services for any illegal purpose;

Wisdom Balance reserves the right to immediately terminate your access to and use of the Website or Services, without refund, for any violation of these Terms of Use.

10. Intellectual Property; Improper Use of Website

The content available on or delivered through the Website, including, without limitation, all designs, text, messages, communications, documents, graphics, photographs, illustrations, trademarks, trade names, service marks, logos, information obtained from Wisdom Balance’s licensors, and other files or information (the “Content”), and their selection and arrangement, are proprietary property, protected by copyright, trademark, and other intellectual property laws of the United States and foreign laws. Any use of the Content not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

Wisdom Balance hereby authorizes you to view the Content solely for your non-commercial, personal use. You may not record or otherwise reproduce any Content. Specifically, and without limiting the foregoing, you may not record, copy, scan, or transcribe any consultation service conducted via phone, chat, or direct message without the prior written consent of Wisdom Balance. Wisdom Balance and its licensors retain all rights not expressly granted herein.

Except as expressly provided above, you may not copy, display, download, distribute, modify, publish, reproduce, republish, or retransmit any Content contained in the Website or any portion thereof in any electronic medium or in hard copy, or create any derivative work based on such Content, without the express written consent of Wisdom Balance. Nothing contained in these Terms of Use or the Website shall be construed as conferring directly or by implication, estoppel, or otherwise any license or right under any patent, copyright, trademark, or other intellectual property right of Wisdom Balance, its affiliates, or any third party.

You may not “mirror” any Content contained in the Website or any other server without Wisdom Balance’s prior written permission. You may not use the Website for any purpose that is unlawful or prohibited by these Terms of Use. You may not use the Website in any manner that could damage, disable, overburden, or impair the Website, or interfere with any other party’s use and enjoyment of the Website. You may not attempt to gain unauthorized access to the Website through hacking, password mining, or any other means. Wisdom Balance may, at any time, for any reason or no reason, in its sole discretion, and without prior or any notice, limit, restrict, or terminate any user’s access to and use of the Website.

11. Materials You Submit

You acknowledge that you are responsible for any information or material you provide to Wisdom Balance or post, upload, input, submit, or transmit to the Website (“Submissions”), including the legality, reliability, appropriateness, originality, and copyright of any such material. You may not upload, distribute, or otherwise publish through the Website any content that is libelous, defamatory, incendiary, discriminatory, false, vulgar, obscene, pornographic, profane, harassing, threatening, invasive of privacy or publicity rights, abusive, illegal, hateful or otherwise objectionable, or that targets sex, gender, race, color, sexual orientation, national origin, religious views or disability, or is otherwise objectionable, or that may constitute or encourage a criminal offense, violate the rights of any party, or otherwise give rise to liability or violate any law. Additionally, you agree that you will not: (a) conduct any advertising or business solicitation of any Submission; (b) disrupt the normal flow of dialogue or make a Submission unrelated to the topic being discussed (unless it is clear the discussion is free-form); (c) post a chain letter or pyramid scheme; (d) impersonate another person; (e) distribute viruses or other harmful computer code; (f) harvest or otherwise collect information about others, including email addresses, without their consent; (g) post the same information several times or “spam”; or (h) engage in any other conduct that restricts or inhibits any other person from using or enjoying the Website, or which, in the judgment of Wisdom Balance, exposes Wisdom Balance or any of its licensors, partners, or customers to any liability or detriment of any type.

Submissions shall be treated as non-confidential and non-proprietary. Wisdom Balance shall have no obligation of any kind with respect to such Submissions and shall be free to reproduce, use, disclose, modify, display, and distribute the Submissions to others without limitation. By transmitting such Submissions to Wisdom Balance and the Website, you automatically grant to Wisdom Balance a perpetual, worldwide, royalty-free, irrevocable, non-exclusive right and license (including sublicense rights) to use, copy, modify, adapt, publish, translate, edit, and distribute such Submissions (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such Submissions. You also permit any other user of the Website to access, view, store, or reproduce the Submission for that user’s personal use. Without limiting the generality of the foregoing license, if you submit a Submission that consists of a “testimonial,” you acknowledge that you grant Wisdom Balance the right to display such Submission in whole or in part on the Website or in any other format or media at any time.

Please note, Wisdom Balance does not wish to receive any Submission that contains your confidential information, and any Submission received will be deemed not to be confidential.

You will be solely responsible for your Submissions and the consequences of posting them. With respect to each of your Submissions, you affirm, represent, and/or warrant that: (i) you own or have the necessary licenses, rights, consents, and permissions to use and to authorize Wisdom Balance, its affiliates and subsidiaries, to use all patent, trademark, trade secret, copyright, or other proprietary rights in and to any and all such Submissions to enable inclusion and use of such Submissions in the manner contemplated by us and these Terms of Use; and (ii) you have the written consent, release, and/or permission of each and every identifiable individual person in such Submissions (including the parent or guardian of any individual under eighteen (18) years of age, as applicable) to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of such Submissions in the manner contemplated by Wisdom Balance and these Terms of Use. In furtherance of the foregoing, you agree that you will not: (i) submit material that is copyrighted, protected by trade secret, or otherwise subject to third-party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Wisdom Balance all of the rights granted herein; (ii) publish falsehoods or misrepresentations that could damage Wisdom Balance, the Website, or any third party; (iii) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; or (iv) post advertisements or business solicitations.

We reserve the right to edit, remove, or not post Submissions without prior notice.

12. Notice and Take-Down Procedures

If you are a copyright owner or an agent thereof and believe that any Submission or other content accessible on or from this Website infringes upon your copyrights, you may submit a notification to our copyright agent pursuant to the Digital Millennium Copyright Act (17 U.S.C. § 512(c)) by providing us with the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyrighted work; (ii) a description of the copyrighted work that you claim has been infringed; (iii) the URL containing the material that you claim is infringing; (iv) your name, address, telephone number, and email address; (v) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (vi) a statement by you, made under penalty of perjury, that the above information in your notification is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Wisdom Balance Parties from and against any and all liability, losses, claims, and expenses (including reasonable attorneys’ fees) that arise from (i) your breach of these Terms of Use, and (ii) your use of the Website or Services.

14. Governing Law

Unless expressly provided otherwise herein, these Terms of Use shall be interpreted and enforced, and any dispute related to your agreement with Wisdom Balance or use of the Website or Services shall be governed by the laws of the state of your residence, without regard to its choice of law (or conflict of laws) rules. Notwithstanding the foregoing, the Arbitration Agreement set forth below shall be governed by the Federal Arbitration Act.

15. Dispute Resolution

Unless expressly provided otherwise herein, any dispute or claim relating in any way to your use of the Website or Services, including the determination of the scope or applicability of this arbitration agreement (a “Dispute”), will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

This agreement does not in any way alter your ability to bring concerns to the attention of Wisdom Balance Customer Service or to make any concerns to federal, state, or local agencies. The Federal Arbitration Act, federal arbitration law, and the laws of the state of your residence, without regard to principles of conflict of laws, apply to this agreement and any dispute or claim between you and Wisdom Balance.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of these Terms of Use as a court would.

To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to our registered agent at []. The arbitration will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA’s Supplementary Procedures for Consumer-Related Disputes then in effect (the “AAA Rules”). The AAA’s rules are available at www.adr.org or by calling 1-800-778-7879.

You and Wisdom Balance are each responsible for your own respective costs relating to attorneys, experts, and witnesses, and any other expenses related to the arbitration. However, Wisdom Balance will pay for the administration or filing fees of the arbitration, including the arbitrator and/or other AAA case management fees (the “Administrative Fees”) under the following circumstances: (1) for any Dispute in the aggregate of $2,500 or less, Wisdom Balance will pay all Administrative Fees; (2) for any Dispute in the aggregate of more than $2,500 and not exceeding $10,000, the parties will adhere to the arbitration fees section of the AAA Consumer Arbitration Rules, however, if you provide Wisdom Balance with a written notice stating the basis for your inability to pay a portion of the Administrative Fees, Wisdom Balance will pay all Administrative Fees. However, if the arbitrator finds the claim frivolous, Wisdom Balance will not pay any of your Administrative Fees. We will not seek attorneys’ fees and costs in arbitration unless the arbitrator determines the claims are frivolous.

If the value of the relief sought is $10,000 or less, you or Wisdom Balance may elect to have the arbitration conducted by telephone or based solely on written submissions, which election shall be binding on you and Wisdom Balance subject to the discretion of the arbitrator to require an in-person hearing, if the circumstances warrant. In cases where an in-person hearing is held, you and/or Wisdom Balance may attend by telephone, unless otherwise required by the arbitrator.

We each expressly agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action, whether or not the AAA’s procedures or rules would permit such an action. We each expressly waive our right to file or participate in a class action or to seek class or representative relief. Further, unless both you and we expressly agree in writing, the arbitrator may not consolidate more than one individual party’s claims with any other party’s claims, and may not otherwise preside over any form of a representative or class proceeding. If for any reason the class, consolidated, or representative action waiver is found to be unenforceable, then the class, consolidated, or representative action may only be heard in court and may not be arbitrated under this agreement. If any party fails to comply with this arbitration provision in connection with any Dispute, then the non-complying party shall be liable for the costs and attorneys’ fees incurred by the other party in enforcing compliance with the arbitration agreement.

If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial. We also both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights. Any lawsuit, cause of action, or legal proceeding arising out of or relating to this Website or your use of any Services that is not resolved by arbitration or in small claims court as set forth above shall (i) be governed by the laws of Hong Kong without regard to its choice of law (or conflict of laws) rules, and (ii) have the exclusive jurisdiction and venue of the courts in Hong Kong.

16. Entire Agreement

These Terms of Use constitute the sole agreement between you and Wisdom Balance and its affiliated entities regarding your use and our provision of the Website and Services and the subject matter hereof.

17. Notices

Unless expressly provided otherwise herein, you agree to send any notice of Dispute or other communication to us by email at [email protected].

We do not permit copyright-infringing activities and/or infringement of intellectual property rights on the Website, and we will remove your content if your content infringes on another’s intellectual property rights. We reserve the right to remove your content without prior notice. We may terminate a user’s privileges of any user who is a repeat infringer of copyright of others upon receipt of proper notification from the copyright owner or the copyright owner’s legal agent. We further reserve the right to decide whether your content is appropriate and complies with these Terms of Use for violations other than copyright infringement and intellectual property law violations, including but not limited to pornographic content and/or obscene or defamatory material. We may remove your content and/or terminate user access for uploading such material in violation of these Terms of Use at any time, without prior notice, and at our sole discretion.

If you believe that any material found on the Website is being used in a manner that constitutes copyright infringement of your copyrighted work, please send us a notification, titled “Request for Removal of Infringing Copyright Material,” containing the following information:

  • The signature of the owner or authorized person to act on behalf of the owner of the allegedly infringed work;
  • Identification of the copyrighted work claimed to have been infringed;
  • A description of the location of the infringing material on the Website;
  • Your contact information (i.e., address, telephone number, and email address);
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

19. No Warranty Disclaimer

The Content is provided “as is” and “with all faults.” To the maximum extent permitted by applicable law, no warranties, express, implied, or statutory, including, but not limited to, warranties of completeness, accuracy, non-interruption, or verification of Content are provided; no implied warranty arising from course of dealing, course of trade, or course of performance is provided; and no implied warranties of merchantability or fitness for a particular use or purpose are provided.

20. Limitation on Amount of Liability

To the maximum extent permitted by applicable law, the total liability of Wisdom Balance, its affiliates, and their respective authors, employees, directors, officers, consultants, agents, website hosts or internet service providers, content providers, or other persons related to or used by Wisdom Balance (collectively, the “v Entities”), for any type of liability whatsoever (e.g., contract, tort, warranty, and to the maximum extent permitted by applicable law, product liability and strict liability) arising from or relating to these Terms of Use or the Content or the Services, shall not exceed $500.00 USD. The foregoing limitation shall not apply to the extent caused by Wisdom Balance’s willful tortious misconduct or gross negligence.

21. Limitation on Types of Damages

To the maximum extent permitted by applicable law, the Wisdom Balance Entities shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

22. Arbitration Venue and Governing Law

Any Dispute will be arbitrated in accordance with the “Dispute Resolution” section above. The arbitration shall take place in Hong Kong.

Except for the foregoing arbitration clause, any lawsuit, cause of action, or legal proceeding arising out of or relating to this Website or your use of any Services that is not resolved by arbitration or in small claims court as set forth above shall (i) be governed by the laws of Hong Kong without regard to its choice of law (or conflict of laws) rules, and (ii) have the exclusive jurisdiction and venue of the courts in Hong Kong.

23. Entire Agreement

These Terms of Use are the complete and exclusive agreement between Wisdom Balance and you concerning the Services (excluding any separate agreement explicitly supplementing or replacing these terms between you and Wisdom Balance), and these Terms of Use supersede and replace any prior agreements between us regarding the Services.

24. Our Failure to Enforce Doesn’t Imply Waiver
